- “AdzImpact”, “we”, “us” and “our” mean the business providing the website and services.
- “Client”, “you” and “your” mean the person or organisation accessing the website or purchasing services.
- “Services” include services described on the website, in a proposal, quotation, invoice, statement of work or written communication.
- “Deliverables” mean designs, content, websites, campaign assets, reports, printed products or other work specifically agreed for delivery.
- “Third-Party Platforms” include Google, Meta, Instagram, Facebook, YouTube, LinkedIn, X, WhatsApp, hosting providers, domain registrars, payment providers and other external services.
3. Eligibility
You must be at least 18 years old and legally competent to enter into a binding agreement.
Where you act on behalf of a company, partnership, organisation or other entity, you represent that you have authority to bind that entity.
4. Website Information
Information displayed on the website is provided for general business and marketing information.
Website descriptions, packages, prices, timelines, case studies and examples do not automatically constitute a binding offer. A binding service engagement is created only when:
- A proposal, quotation, service agreement or statement of work is accepted.
- Any required advance payment is received.
- The project requirements and scope are sufficiently confirmed.
- AdzImpact communicates acceptance or begins work based on your instruction.
5. Services
AdzImpact may provide services including:
- Marketing and growth strategy.
- Meta Ads and Google Ads.
- Search-engine optimisation.
- Social media management.
- Content strategy and creation.
- Branding and graphic design.
- Website design and development.
- Landing pages and conversion systems.
- Lead generation.
- CRM and marketing automation.
- Video and creative production.
- Printing and promotional materials.
- Business growth consulting.
- Other related services described in an accepted proposal.
The precise scope, deliverables, fees, timelines, responsibilities and revision limits will be stated in the applicable proposal, invoice or agreement.
In case of conflict, the following order of priority will apply:
- Signed service agreement or statement of work.
- Accepted proposal or quotation.
- Invoice and written project confirmation.
- These Terms and Conditions.
- General website content.
6. Enquiries and Consultation
Submitting a website form or booking a consultation does not require AdzImpact to accept a project.
We may decline an enquiry where:
- The work is outside our expertise or capacity.
- The requested activity may be illegal, misleading, harmful or unethical.
- The client refuses necessary verification.
- There is a conflict of interest.
- The client’s requirements violate third-party platform policies.
- Payment, ownership or authority cannot be reasonably confirmed.
7. Proposals and Quotations
Unless stated otherwise:
- Quotations are valid for the period stated in the quotation.
- Prices may change after expiry of the quotation.
- Prices are based on information available at the time of quotation.
- Additional requirements may result in revised fees and timelines.
- Advertising spend, platform charges, taxes, travel, printing, software, domains, hosting and third-party costs are excluded unless expressly included.
- Applicable GST and statutory taxes to be charged separately.
8. Payments
Payment terms will be stated in the applicable proposal or invoice.
Depending on the service, we may require:
- Full payment in advance.
- A non-refundable project booking amount.
- Milestone payments.
- Monthly retainers paid in advance.
- Reimbursement of approved third-party expenses.
- Separate payment of advertising or media budgets.
AdzImpact may suspend work, campaigns, access or delivery where an invoice remains unpaid.
The client remains responsible for payment for work completed, resources allocated and third-party commitments made before suspension or termination.
9. Advertising and Media Spend
Unless expressly stated otherwise:
- Advertising spend is separate from AdzImpact’s professional fees.
- Media budgets are paid directly by the client or funded in advance.
- AdzImpact does not provide credit for media spend.
- Advertising platforms may charge taxes, currency-conversion fees or other charges.
- Funds paid to third-party advertising platforms are governed by those platforms’ policies.
- Unused platform balances, credits and refunds are subject to the relevant platform’s procedures.
- AdzImpact is not responsible for charges caused by compromised client accounts where the compromise did not result from AdzImpact’s breach.
Clients should maintain ownership and administrative access to their business assets and advertising accounts wherever reasonably possible.
10. Client Responsibilities
The client must:
- Provide accurate and complete information.
- Provide timely approvals, feedback, files and access credentials.
- Appoint an authorised point of contact.
- Review deliverables before publication or production.
- Ensure that products, offers, claims and instructions are lawful and accurate.
- Obtain required licences, permissions and consents.
- Maintain adequate account security.
- Pay invoices and third-party costs on time.
- Comply with advertising, privacy, consumer and industry-specific laws.
- Follow applicable platform policies.
- Keep backup copies of important business data.
The client is responsible for delays caused by missing information, delayed approvals, unavailable access, changing instructions or third-party dependencies.
11. Client Content and Legal Rights
The client represents that it owns or has permission to use all materials supplied to AdzImpact, including:
- Logos and trademarks.
- Photographs and videos.
- Music and audio.
- Product information.
- Customer and lead data.
- Testimonials.
- Fonts and software.
- Website content.
- Designs and brand assets.
- Personal images and likenesses.
The client must not provide material that:
- Infringes copyright, trademark, privacy or publicity rights.
- Is defamatory, deceptive or unlawful.
- Contains unauthorised personal information.
- Promotes prohibited or restricted products without proper authorisation.
- Violates advertising or platform policies.
AdzImpact may rely on information supplied by the client and is not required to independently verify every claim.
12. Project Timelines
Timelines are estimates unless expressly guaranteed in writing.
Delivery dates may be affected by:
- Delayed client feedback or approvals.
- Changes in project scope.
- Technical issues.
- Platform review or suspension.
- Vendor or printing delays.
- Third-party integrations.
- Force-majeure events.
- Unpaid invoices.
- Delays in receiving content, credentials or required information.
Where the client causes a delay, project timelines will be reasonably extended.
Projects inactive due to the client’s non-response may be paused, archived or subject to a restart fee.
13. Revisions and Scope Changes
The number and type of revisions included will be stated in the proposal.
A revision means a reasonable change to an existing approved direction. It does not include:
- A new creative direction.
- A new campaign or concept.
- Replacement of an approved design.
- Major structural changes.
- New pages, integrations or features.
- Rework caused by incorrect client information.
- Changes requested after final approval.
- Work outside the agreed scope.
Additional work may require a revised quotation, additional payment and extended timeline.
14. Approvals
Approval may be provided through email, WhatsApp, project-management tools or another agreed communication channel.
Once the client approves a design, copy, campaign, website, proof or other deliverable:
- AdzImpact may proceed based on that approval.
- Changes may be chargeable.
- The client is responsible for final review of names, prices, claims, spelling, legal disclosures, contact details and other business information.
- Printing or production errors present in an approved proof may not qualify for a refund or free replacement.
15. Marketing Performance Disclaimer
Marketing outcomes depend on many factors beyond AdzImpact’s control, including:
- Market conditions.
- Competition.
- Offer quality.
- Product pricing.
- Website performance.
- Sales follow-up.
- Customer demand.
- Platform algorithms.
- Advertising-policy changes.
- Budget.
- Account history.
- Brand reputation.
- Client response time.
AdzImpact does not guarantee:
- A specific number of leads or sales.
- A particular cost per lead.
- Search-engine rankings.
- Approval of advertisements or accounts.
- Revenue, profit or return on investment.
- Organic reach or follower growth.
- That every lead will be genuine, eligible or converted.
- Continuous availability of a third-party platform.
Forecasts and projections are estimates, not guarantees.
16. Lead Generation
Where lead-generation services are provided:
- Lead quality may vary.
- Prospects may submit incomplete or inaccurate information.
- Duplicate, unresponsive or ineligible leads may occur.
- The client is responsible for timely sales follow-up and verification.
- The client must use lead information only for lawful and disclosed purposes.
- The client must honour opt-out, deletion and privacy requests.
- AdzImpact does not guarantee that a lead will purchase a product or service.
17. Website Development
For website and landing-page projects:
- Browser and device appearance may vary.
- Third-party plugins and integrations remain subject to their respective providers.
- Domain, hosting, email and software renewals remain the client’s responsibility unless expressly managed by us.
- The client must maintain security updates, backups and licences after handover unless covered by an active maintenance plan.
- AdzImpact is not responsible for unauthorised changes made by the client or another provider after delivery.
- Search rankings, traffic and conversions are not guaranteed.
- Delays or failures caused by hosting providers, domain registrars, external APIs or third-party plugins are outside our direct control.
18. Printing and Physical Production
For printing, merchandise and production services:
- Colours displayed on screens may differ from printed output.
- Minor variations in colour, alignment, material, texture, finishing and dimensions may occur.
- Final production will begin after proof or sample approval where applicable.
- Customised products cannot ordinarily be resold and may not be returnable solely because of a change of preference.
- Delivery dates are estimates where transport or third-party production is involved.
- The client must report visible defects or quantity discrepancies promptly with photographs and supporting details.
- Replacement or remedy will depend on inspection and the applicable vendor terms.
19. Third-Party Platforms
AdzImpact does not own or control third-party platforms.
Those platforms may:
- Change algorithms, features and policies.
- Reject advertisements.
- Restrict content.
- Suspend or disable accounts.
- Change pricing.
- Remove data or functionality.
- Experience outages.
- Require identity or business verification.
AdzImpact is not liable for a third-party platform’s independent decision, suspension, outage or policy change, although we may provide reasonable assistance where included in the agreed scope.
20. Intellectual Property
20.1 AdzImpact Materials
AdzImpact retains ownership of:
- Pre-existing templates.
- Internal systems.
- Processes and methodologies.
- Reusable code components.
- Know-how.
- Strategy frameworks.
- Licensed stock assets.
- Software tools.
- Drafts and unused concepts.
- Materials not included in the final agreed deliverables.
20.2 Final Deliverables
Subject to full payment, the client will receive the ownership or licence expressly described in the proposal.
Third-party assets remain subject to their original licence terms, including:
- Fonts.
- Stock images.
- Music.
- Video footage.
- Plugins.
- Themes.
- Software.
- AI services.
- Platform assets.
Ownership does not transfer until all applicable invoices have been paid.
20.3 Website Content
The AdzImpact name, logo, website design, text, graphics, service descriptions and original content may not be copied, republished or commercially used without written permission.
21. Portfolio and Case Studies
AdzImpact may request permission to display publicly released work, general project descriptions, client logos or performance information in its portfolio and marketing materials.
Confidential information, unpublished campaigns and information restricted by a non-disclosure agreement will not be intentionally disclosed.
Specific portfolio restrictions must be agreed in writing.
22. Confidentiality
Each party must protect confidential information received from the other party and use it only for the relevant business purpose.
Confidentiality obligations do not apply to information that:
- Is publicly available without breach.
- Was lawfully known before disclosure.
- Is independently developed.
- Is received lawfully from another source.
- Must be disclosed under law or a valid authority order.
23. Privacy and Data Protection
Personal information will be handled in accordance with the AdzImpact Privacy Policy and applicable law.
Clients providing customer, prospect or employee data must ensure they have the authority, notices and consents necessary for AdzImpact to process that information.
24. Cancellation and Termination
Either party may terminate a service in accordance with the accepted proposal or agreement.
AdzImpact may immediately suspend or terminate services where:
- Payment is overdue.
- The client materially breaches the agreement.
- The requested activity is unlawful or deceptive.
- The client provides infringing content.
- Continuing the work creates a legal, security or reputational risk.
- The client abuses or threatens team members.
- Required access or cooperation is repeatedly withheld.
On termination:
- Charges for completed work remain payable.
- Approved and committed third-party costs remain payable.
- AdzImpact may withhold unfinished or unpaid deliverables.
- Each party must return or securely handle confidential information as reasonably required.
- Clauses intended to survive termination will remain effective.
25. Refunds
Refunds and cancellations are governed by the AdzImpact Refund and Cancellation Policy and the applicable proposal.
Customised professional services, completed work, advertising spend and committed third-party expenses may not be refundable.
26. Service Suspension
We may temporarily suspend services for:
- Security risks.
- Platform investigations.
- Required maintenance.
- Non-payment.
- Legal or regulatory requirements.
- Suspected misuse.
- Circumstances outside our reasonable control.
We will provide reasonable notice where practical.
27. Prohibited Website Use
You must not:
- Attempt unauthorised access to the website or systems.
- Introduce malware or harmful code.
- Scrape the website without permission.
- Interfere with website availability.
- Impersonate another person.
- Submit fraudulent enquiries.
- Use website content unlawfully.
- Attempt to discover source code except where legally permitted.
- Use the website for spam, abuse or illegal activity.
28. Disclaimer of Warranties
To the maximum extent permitted by law, the website and general information are provided on an “as available” basis.
We do not warrant that:
- The website will always be uninterrupted.
- All information will always be error-free.
- Every third-party integration will remain available.
- Use of the website will achieve a specific business result.
Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
29. Limitation of Liability
To the maximum extent permitted by applicable law, AdzImpact will not be liable for indirect, incidental, special, punitive or consequential losses, including loss of profits, business opportunity, goodwill, anticipated savings or data.
Where liability cannot be excluded, AdzImpact’s aggregate liability arising from a particular paid service will ordinarily be limited to the professional fees paid to AdzImpact for the service giving rise to the claim during the three months preceding the event.
This limitation does not apply where liability cannot lawfully be limited, including liability arising from fraud, wilful misconduct or other non-excludable obligations.
30. Indemnity
You agree to indemnify and hold AdzImpact harmless from third-party claims, losses, penalties and reasonable costs arising from:
- Materials supplied by you.
- Unlawful or misleading claims made by you.
- Your violation of intellectual-property, privacy or advertising laws.
- Misuse of lead or customer data.
- Your breach of these Terms.
- Products or services sold by your business.
- Instructions provided by you.
This clause does not apply to the extent that a claim was directly caused by AdzImpact’s proven breach or wilful misconduct.
31. Force Majeure
Neither party will be liable for delay caused by events beyond reasonable control, including:
- Natural disasters.
- Fire or flood.
- War, terrorism or civil unrest.
- Government action.
- Internet or power failure.
- Platform outage.
- Cyberattack not caused by the affected party’s negligence.
- Labour disruption.
- Public-health emergency.
- Transport or supply-chain interruption.
Affected obligations will be suspended for the duration of the event where reasonably necessary.
32. Governing Law and Dispute Resolution
These Terms are governed by the laws of India.
The parties will first attempt to resolve disputes through good-faith written discussions.
Where a commercial dispute cannot be resolved, it may be referred to arbitration under the Arbitration and Conciliation Act, 1996:
- The arbitration will be conducted by a sole arbitrator mutually appointed by the parties.
- The seat and venue will be Gautam Buddh Nagar, Uttar Pradesh.
- The proceedings will be conducted in English.
- The arbitral award will be final and binding, subject to applicable law.
Courts located in Gautam Buddh Nagar, Uttar Pradesh will have jurisdiction over matters relating to the arbitration and other disputes not validly referred to arbitration.
Nothing in this clause prevents an eligible consumer from approaching a competent consumer commission or exercising another right that cannot legally be waived.
33. Changes to These Terms
We may update these Terms when our services, business practices or legal obligations change.
The latest version will be published on the website with a revised “Last Updated” date.
Changes will not retrospectively alter an existing signed service agreement unless agreed by the parties or required by law.
34. Severability
If any provision is held invalid or unenforceable, the remaining provisions will continue in effect.
The invalid provision will be interpreted or modified to the minimum extent necessary to make it enforceable.
35. No Waiver
Failure to immediately enforce a provision does not waive the right to enforce it later.
36. Electronic Communications
You consent to receiving project, contractual, billing and operational communications electronically through email, WhatsApp, telephone or agreed project-management tools.
Electronic approvals and communications may be treated as valid business instructions where permitted by law.
